Solar Cube Terms and Conditions

Effective as of 20 December 2025

General

1.1 Parties and Scope

These terms and conditions (the “Terms and Conditions”) regulate the legal relationship between ROYGARD Sp. z o.o (NIP 9571053891 | KRS 0000385936 | REGON 221223967), with its registered office at ul. Roberta Schumana 37, 80-171 Gdańsk, Poland (the “Company”, “Solar Cube”, “we”, “us”, “our”), and the users of the Solar Cube website and the Solar Cube Home Energy Management System installed on devices and accessible via the web portal (collectively the “Solar Cube Platform”) (the “User”, “you”).

1.2 Acceptance and Agreement

By visiting the Website, registering an account, purchasing or using a Solar Cube device, or using any part of the Solar Cube Platform, you confirm that you have read, understood, and accepted these Terms and Conditions, and a legally binding agreement is concluded between you and Solar Cube.

1.3 B2C and B2B

These Terms and Conditions apply to both:

  • Consumers (B2C) located in the European Union/EEA, and
  • Business customers (B2B) located in the European Union/EEA.

Where mandatory consumer protection laws apply, they prevail over conflicting provisions in these Terms and Conditions. Sections marked “Consumer Terms” apply to consumers.

1.4 Definitions

  • “Consumer”: a natural person acting for purposes outside their trade, business, craft, or profession.
  • “Business User”: a legal entity or natural person acting within their trade, business, craft, or profession.
  • “Device”: the Solar Cube hardware unit sold or provided to you.
  • “Portal”: the Solar Cube web portal associated with your account.

Services

2.1 Services Provided

Solar Cube provides the following services (the “Services”) to Users of the Solar Cube Platform:

2.1.1 Home Energy Management Service

Solar Cube helps you measure, monitor, and manage energy flows in your installation (e.g., grid import/export, photovoltaic production, battery charging/discharging, and other connected devices).

2.1.2 Information Service

Solar Cube provides information, insights, statistics, and third-party data/services which may enable your system to optimise energy-related costs and user experience.

2.2 Mandatory Cloud Portal

The Solar Cube Portal is a required part of the Solar Cube Platform. Cloud connectivity is necessary for correct operation of the Services, including:

  • storing and displaying historical energy and tariff data in the Portal, and
  • storing and delivering the configuration profile required for the correct operation of the Device and Portal.

2.3 Hosting Location

Our cloud environment is hosted on Microsoft Azure in the Poland Central region (Warsaw).

2.4 Changes to Services

We may add, modify, suspend, or discontinue parts of the Services, including supported devices/integrations and algorithms.
Consumer Terms: Where changes materially reduce functionality, we will provide reasonable notice and, where required by law, available remedies.

Registration and Account Management

3.1 Account Requirement

Because the Portal is mandatory, an Account is required to use the Solar Cube Platform.

3.2 Account Information

You must provide complete, truthful, and current information and keep it up to date. We may request additional information necessary for security, fraud prevention, support, or compliance.

3.3 Refusal of Service

We reserve the right to refuse service or registration, to the maximum extent permitted by law.

3.4 Account Deletion

You may delete your Account at any time. Deleting the Account will terminate access to the Portal and may prevent Solar Cube from providing the Services. Data handling after deletion is described in our Privacy Policy.

Use of the Platform

4.1 User Obligations

You shall:

  1. keep your credentials secure and confidential;
  2. promptly notify us of suspected unauthorised access;
  3. not introduce malware or vulnerabilities;
  4. not reverse engineer, scrape, or bypass security;
  5. not use the Platform unlawfully (fraud, money laundering, abuse);
  6. provide accurate configuration and installation data;
  7. respect intellectual property rights;
  8. not grant Account access to third parties unless explicitly permitted;
  9. not resell or commercialise the Services unless authorised in writing;
  10. keep the Device/Platform updated where updates are provided.

4.2 Authentication

We may require additional authentication to submit legally relevant actions (e.g., subscription changes, device ownership transfer).

Device, Installation, Connectivity

5.1 Installation and Safety

You are responsible for ensuring safe installation and operation of the Device, including compliance with local electrical and safety regulations. If professional installation is recommended, you should use qualified personnel.

5.2 Internet and Local Network

You are responsible for maintaining internet access and a secure local network environment required for the Portal and cloud features.

5.3 Third-Party Hardware/Software

Solar Cube may interoperate with third-party devices (inverters, meters, batteries) and third-party services/APIs. We do not control them and are not responsible for their availability, accuracy, or changes.

Home Energy Management Service

6.1 “As-Is” Information

Information provided via the Home Energy Management Service is provided as-is. Outputs depend on input data, configuration, and third-party device readings.

6.2 No Guaranteed Savings

We do not guarantee savings, bill reductions, or specific optimisation results.

Information Service

7.1 Third-Party Data

Information may include third-party data. See Section 12.

7.2 “As-Is”

Any information available through the Information Service is provided as-is and may be incomplete or outdated.

Fees and Prices

8.1 Fees

Fees (if any) for subscriptions or paid plans are described on the Solar Cube website: https://solarcube.io

8.2 Price Changes

We may change prices.
Consumer Terms: We will provide notice of price changes affecting existing subscriptions where required by law; you may have the right to terminate before the change takes effect (depending on plan and applicable law).

8.3 Payments, Invoices, Taxes

If payments apply, you agree to pay fees in accordance with the billing terms shown at purchase. Taxes (e.g., VAT) may be added where applicable.

Updates and Support

9.1 Updates

We may provide updates (including security updates) to the Device software and Portal.

Consumer Terms (goods with digital elements / digital services):
Where the contract includes continuous supply of digital elements/services, conformity and updates obligations may apply for the relevant period, and remedies for lack of conformity may be available. (EUR-Lex)

9.2 Support

Support channels and scope are described at: https://portal.solarcube.io/. We may offer different support levels for consumers vs business users and/or per subscription plan.

Suspension and Termination

10.1 Suspension

We may suspend access immediately if you breach these Terms, create security risks, or if required by law.

10.2 Termination by User

You may terminate by deleting your Account and/or cancelling subscriptions (if applicable) in the Portal.

10.3 Termination by Solar Cube

Material breach of these Terms may result in termination. We may also terminate if we discontinue the Service or where legally required.

Liability

11.1 Availability

We do not guarantee uninterrupted, timely, secure, or error-free operation.

11.2 Disclaimer

Except as required by law, Services are provided “as is” and “as available”, without warranties of fitness for a particular purpose.

11.3 Limitation

To the maximum extent permitted by law, Solar Cube is liable only for direct damages caused by Solar Cube’s wilful misconduct or gross negligence. Indirect, incidental, special, punitive, or consequential damages are excluded.

11.4 Mandatory Law

Nothing in these Terms limits liability where such limitation is prohibited by mandatory law (including consumer protection laws).

Third-Party Links, Data, and Services

12.1 Third-Party Materials

The Platform may include third-party links, data, or integrations.

12.2 No Responsibility for Third Parties

We are not responsible for third-party websites, products, or services and their terms. Your interactions are governed by the third party’s terms.

Errors, Inaccuracies, and Omissions

13.1 Corrections

We may correct errors or update information at any time.

13.2 No Obligation to Update

We are not obligated to update all information, except as required by law.

Personal Data

14.1 Privacy Policy

Your submission of personal data is governed by our Privacy Policy.

Intellectual Property

15.1 Ownership

Solar Cube and/or its licensors own all IP rights in the Platform.

15.2 User Content License

You grant Solar Cube a non-exclusive, transferable, royalty-free, worldwide license to use content you upload to provide and improve the Services, subject to the Privacy Policy.

15.3 Open Source

The Device may include open source software subject to separate license terms. Notices are available at: https://portal.solarcube.io/oss-notices

Applicable Law and Venue

16.1 Governing Law

These Terms are governed by the substantive law of Poland, without regard to conflict of law rules.

16.2 Venue

Disputes shall be settled by courts in Gdańsk, Poland, unless mandatory consumer law provides otherwise.

Consumer Terms (EU/EEA) — Additional Information for B2C

17. Consumer Legal Guarantee and Remedies

If you are a Consumer, you may have statutory rights regarding conformity of goods and digital services, including repair/replacement, price reduction, or termination in cases of lack of conformity, as implemented in your country. EU rules cover consumer sales (including goods with digital elements) and contracts for digital content/digital services. (EUR-Lex)

For continuous supply of digital services/content, the trader may be liable for lack of conformity occurring or becoming apparent during the period of supply. (EUR-Lex)

18. Right of Withdrawal (Distance/Off-Premises Contracts)

If you purchased online or otherwise at a distance, you generally have a 14-day right of withdrawal under EU consumer rules, unless an exception applies.

18.1 Digital content / digital services exception

Where you request immediate performance of a digital service or supply of digital content not on a tangible medium, the right of withdrawal may be lost if you gave prior express consent to begin performance and acknowledged the loss of the right of withdrawal (for paid contracts).

We will present this consent/acknowledgement flow during checkout/onboarding where required.

18.2 How to withdraw

19. Complaints

Consumers may submit complaints to info@solarcube.io. We aim to respond within a reasonable time.

Business Terms (EU/EEA) — Additional Terms for B2B

20. B2B Warranty and Liability

Where permitted by law, Business Users agree that:

  • statutory consumer protections do not apply,
  • warranties are limited to those expressly stated in writing,
  • Solar Cube’s total liability is capped to fees paid in last 6 months / 1x device price], and
  • Solar Cube is not liable for indirect damages, loss of profit, loss of business, or loss of data beyond direct damages.

21. B2B Service Levels

Unless a written SLA is agreed, Services are provided on a best-effort basis.

22. Subcontractors and Enterprise Controls

Business Users may request a DPA, security documentation, or enterprise controls under separate written agreement.

Final Provisions

23. Notices

Notices are deemed delivered one working day after being made available via the Platform and/or email.

24. Severability

Invalid provisions do not affect the remainder.

25. Updates to Terms

We may update these Terms from time to time. The current version is available on the Website.
